Aluflexpack AG: Takeover of Aluflexpack by Constantia: Results of General Shareholders' Meeting and Final Offer Price

Reinach (pta005/07.02.2025/07:00) - In connection with the public tender offer (the "Offer") by Constantia Flexibles GmbH ("Constantia") for all publicly held shares of Aluflexpack AG ("AFP"), the extraordinary shareholders' meeting of AFP held on 4 February 2025 approved all motions of AFP's board of directors. Especially, all persons nominated by Constantia as new board members were elected and the delisting of AFP's shares from SIX Swiss Exchange was approved, all subject to and with effect as of the settlement of the Offer.

Further, on 7 February 2025 Constantia made the following announcements in relation to the Offer:

* Constantia waived condition (b) (Merger Clearance and Other Approvals) of the Offer pursuant to section A7.1 (Offer Conditions) of the Offer prospectus.
* The Offer remains subject to the Offer conditions (c) (No Injunction or Prohibition), (f) (No Adverse Resolutions by the General Meeting of Shareholders of the Company) and (g) (No Acquisition or Sale of Material Assets or Incurrence or Repayment of Material Indebtedness) pursuant to Section A7.1 (Offer Conditions) of the Offer prospectus. All other conditions of the Offer are satisfied or have been waived.
* In accordance with the terms of the Offer, the final offer price under the Offer amounts to CHF 16.00, which is CHF 1 above the base price of CHF 15.00.
* Constantia will publish another announcement once the date of settlement of the Offer has been finally determined.
