Aluflexpack AG: The European Commission clears the Takeover of Aluflexpack by Constantia

Reinach (pta023/29.01.2025/22:10) - As regards the takeover of Aluflexpack AG ("AFP") by Constantia Flexibles GmbH ("Constantia") the European Commission today adopted a conditional clearance decision. The clearance is conditional upon AFP and Constantia fulfilling commitments they have offered to the European Commission to divest a further defined part of AFP's business to a third party. With the clearance decision by the European Commission, all regulatory approvals required for the takeover of AFP by Constantia have been granted. Constantia and AFP will communicate in due course, when the settlement of the public tender offer is expected to occur and what the final offer price will be. The public tender offer and the settlement are and remain subject to the satisfaction or waiver of the remaining offer conditions.
