Potsdam, 16 January 2025 – The management of Zeitfracht Logistik Holding GmbH (" Company ") announces that Kolibri Beteiligung GmbH (" KOLIBRI "), which holds 99.975 % of the shares in the Company, has decided today to consider the issuance of senior secured floating rate corporate bonds with an initial issue amount of up to EUR 145 million (" Nordic Bond "). Pareto Securities AS (" Manager ") has been mandated to arrange a series of meetings with potential investors commencing tomorrow.

The Nordic Bond is supposed to have a term of four years and is to be governed by Norwegian law. The minimum subscription and allocation amount would in any case be EUR 100,000.00. The net proceeds from the potential Nordic Bond issue will be used in particular for an early repayment of the existing bond with a term until 2026 (ISIN: DE000A3H3JC5 / WKN: A3H3JC). In addition, it is planned to refinance existing liabilities of the group companies and to support the group's ongoing business activities and future growth.

KOLIBRI will make the final decision on the Nordic Bond issue based on financial market conditions and the outcome of the meetings with potential investors. The Company will inform the capital market and the public about the progress of the transaction in accordance with legal requirements.
